User Registration and Service Agreement for Online Service Platform

I. Parties to the Agreement

User (hereinafter referred to as "User")：refers to any natural person, legal entity, or organization that completes the platform registration process and agrees to this agreement.

II. Effectiveness and Confirmation of the Agreement

1. By checking the box 'I have read and agree to the Network Service Platform User Registration and Service Agreement' on the registration page and completing registration, the user is deemed to have fully read, understood, and accepted all terms of this agreement.

2. If the user disagrees with any terms of this agreement, they must immediately stop registering and using the platform services.

III. Service Content

1. The platform provides users with a range of online technical services, including distribution information display, product management, order management, settlement reconciliation, data statistics, and after-sales collaboration (subject to the actual functions available on the platform).

2. The platform reserves the right to adjust, upgrade, or optimize service content as business needs evolve, and will notify users through platform announcements or internal notifications.

IV. User Registration and Account Management

1. Users must provide accurate, complete, and truthful registration information as required by the platform, and update it promptly.

2. User accounts are for personal or organizational use only and cannot be rented, lent, transferred, or otherwise provided to third parties.

3. Any loss resulting from account or password leakage due to user negligence shall be borne by the user.

V. User Rights and Obligations

(1) User Rights

1. Use the services provided by the platform in accordance with the law;

2. Query orders, settlements, and related data according to platform rules;

3. Submit reasonable suggestions or complaints regarding the platform services.

1. Comply with national laws and regulations as well as all platform rules;

2. The platform shall not be used for illegal activities, infringement, fraud, money laundering, or other improper conduct.

3. Do not publish false, misleading, or information that infringes upon the rights of third parties;

4. Fulfill the transaction and settlement obligations as agreed.

VI. Platform Rights and Obligations

1. The platform reserves the right to conduct compliance audits and manage user behavior.

2. The platform reserves the right to take measures against accounts suspected of violations, irregularities, or abnormal activities, including but not limited to warnings, feature restrictions, or suspension/termination of services.

3. The platform shall implement appropriate technical measures to ensure system security and stable operation.

VII. Fees and Settlement (if applicable)

1. The platform service fees, commission rates, and settlement cycles shall be as stipulated in the platform's official page or supplementary agreement.

2. Users shall bear all refund, dispute or loss caused by their own reasons.

VIII. Data and Privacy Protection

1. The platform collects and uses user information in accordance with the law, solely for service provision and compliance purposes.

2. The platform will not disclose user information to third parties without user authorization, except as otherwise required by applicable laws and regulations.

3. The user consents to the platform processing transaction and operational data as necessary.

IX. Intellectual Property

1. All intellectual property rights, including but not limited to systems, page designs, program codes, and trademarks provided by the platform, are owned by the platform or the relevant rights holders.

2. Users are prohibited from copying, reverse engineering, distributing, or using the content for commercial purposes without permission.

X. Liability for Breach of Contract

1. Any party in breach of this agreement shall be liable for breach of contract as prescribed by law.

2. Users who cause losses to the platform through illegal or non-compliant actions shall be liable for compensation.

XI. Modification and Termination of the Agreement

1. The platform reserves the right to amend this agreement as required by business needs and shall notify users through official announcements.

2. By continuing to use the platform services, the user shall be deemed to have accepted the revised agreement.

3. Users may legally request account cancellation, and the agreement will terminate accordingly.

XII. Law Applicability and Dispute Resolution

1. This Agreement shall be governed by the laws of the People's Republic of China (or: __________ laws);

2. Any disputes arising from this agreement shall first be resolved through good-faith negotiations between the parties. If no agreement is reached, the matter shall be submitted to the competent People's Court at the platform's location for adjudication.

XIII.Thirteen, Others

1. This agreement constitutes the complete terms between both parties for platform registration and service usage.

2. The invalidity of any provision hereof shall not affect the validity of the remaining provisions.
